1. Acceptance of Terms

By accessing or using SHIFT, a secure file transfer service provided by Liverton Security Limited ("Liverton Security", "we", "us" or "our"), you agree to these Terms & Conditions. If you do not agree, you must not use SHIFT.

These terms apply to SHIFT Free, SHIFT Premium and SHIFT Organisation users. If you use SHIFT on behalf of an organisation, you confirm that you have authority to do so. Where a separate written agreement with Liverton Security applies, that agreement prevails to the extent of any inconsistency.

2. Authorised Use

You may use SHIFT only for lawful purposes and in compliance with applicable laws and these terms. You must have the necessary permission to use any email address, organisational identity, domain name or branding associated with your SHIFT account.

Registering or authenticating using an organisational email address does not, by itself, establish authority to represent that organisation. We may verify that authority and restrict or withdraw access where it is disputed or cannot be satisfactorily established.

3. Prohibited Use and Content

You must not use SHIFT to transfer material that is unlawful or infringes intellectual property, privacy or other rights; to distribute malicious code; to threaten, harass or abuse others; to impersonate another person or organisation; to gain unauthorised access; or to interfere with the security or operation of SHIFT.

You are responsible for the content of files you transfer and for having the necessary rights and permissions to transfer them.

4. File Content, Access, Virus Scanning and Monitoring

SHIFT uses a shared or in some cases a dedicated SHIFT File Server infrastructure. Files may be stored on infrastructure hosted or managed by Liverton Security, or on dedicated infrastructure hosted and managed by a customer or authorised third party.

SHIFT performs automated virus and malware scanning on uploaded files and will reject an upload where the scanning process detects a virus or other malicious content. Such scanning is a protective measure and does not guarantee detection of every threat or that accepted files are free from malicious code. Users remain responsible for applying appropriate security controls to files they send or receive.

Virus and malware scanning is distinct from routine human review of file contents. Liverton Security does not routinely inspect or monitor the contents of transferred files. Where Liverton Security hosts or manages a File Server node, we may have the technical capability to access files. Where a customer hosts and manages a dedicated node within its own infrastructure, for example in an Azure environment, we may not have technical access to stored files.

We do not undertake to verify the legality, accuracy or appropriateness of files. Where technically possible and legally permitted, we may reject transfers, restrict access, remove content or take other appropriate action in response to suspected misuse, security threats or legal obligations. Responsibilities for infrastructure, content access, retention and security depend on the deployment and any applicable service agreement.

5. Ownership of Content

Files transferred through SHIFT remain the property of their respective owners or rights holders. Using SHIFT does not transfer ownership to Liverton Security.

You grant Liverton Security only the limited permissions reasonably necessary to provide, secure, maintain and support the service and comply with applicable law, to the extent technically applicable.

6. Account Suspension and Termination

To the extent permitted by law, Liverton Security may refuse registration, restrict, suspend or terminate a user’s access to SHIFT at its discretion for any lawful reason, including suspected misuse, security or operational concerns, unauthorised use of an organisational identity, disputes over account authority, or other legitimate business reasons.

Where an organisation reasonably establishes that a person is not authorised to use its email address, domain name, identity or branding in connection with SHIFT, we may suspend or terminate that person’s access. We are not required to determine or resolve disputes between users and organisations; we may suspend access while a dispute is assessed and rely on information we reasonably consider credible.

We may discontinue an individual SHIFT Free account without cause to the extent permitted by law. We will give reasonable notice where practicable, but may act immediately where needed to protect users, organisations, Liverton Security or SHIFT.

Suspension or termination may prevent users from retrieving files. Where reasonably practicable, lawful and appropriate, we may allow an opportunity to retrieve files before permanent termination. Suspension or termination of an individual account does not necessarily terminate an organisation’s subscription or other contractual arrangements.

7. Data Security and User Responsibilities

Liverton Security implements measures designed to protect files and information transferred through SHIFT, but no electronic system or transmission can be guaranteed completely secure.

Users are responsible for selecting the correct recipients, safeguarding account credentials, choosing appropriate security settings and expiry periods, retaining copies of important files, and complying with applicable confidentiality, privacy and information-security obligations.

Where a customer operates or controls a dedicated SHIFT File Server node, responsibilities for infrastructure, access controls, malware scanning, storage and file management are determined by the applicable service arrangements.

8. SHIFT Free Service

SHIFT Free is a limited-feature version of SHIFT provided without charge. It is subject to the features, file-size restrictions, storage allowances, usage limits and other conditions published by Liverton Security from time to time.

To the extent permitted by law, we may change SHIFT Free features or limits, restrict excessive or abusive use, suspend inactive accounts, or discontinue the free service. SHIFT Free carries no guaranteed service availability or service level commitment except where required by law.

We may introduce paid offerings or change which features are available without charge. Users will not be charged for a paid service unless they first agree to the applicable charges. We will take reasonable steps to notify users of material changes where practicable.

9. File Retention and Availability

SHIFT is a file transfer service, not a permanent storage or backup service. Files are retained for their configured transfer period and may be automatically deleted upon expiry or in accordance with applicable storage policies. Retention periods, storage limits and availability may differ by service tier and deployment.

Where a customer hosts and manages a dedicated File Server node, retention and deletion responsibilities are governed by the applicable service arrangements. Users must retain their own copies of files they need to preserve. Expired or deleted files may not be recoverable.

10. Privacy and Data Responsibilities

Liverton Security processes personal information associated with SHIFT accounts and service operations in accordance with its Privacy Policy and applicable privacy legislation.

The location, management and accessibility of transferred files depend on the deployment configuration. Where Liverton Security hosts or manages infrastructure, we apply appropriate security controls. Where a customer hosts and manages a dedicated File Server node, that customer is responsible for its infrastructure and stored files except as otherwise agreed.

Liverton Security may process account details, authentication information, transfer metadata and other information required to operate SHIFT even where it cannot access file contents. Applicable law and service agreements determine the parties’ respective privacy responsibilities.

11. Disclaimer of Warranties

SHIFT is provided on an “as available” basis, subject to applicable service agreements and rights that cannot lawfully be excluded. We take reasonable steps to maintain its security, reliability and availability but do not guarantee uninterrupted or error-free operation. Nothing in these terms excludes any right or guarantee that cannot lawfully be excluded.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Liverton Security is not liable for indirect or consequential losses, including lost profits, business opportunities or anticipated savings, arising from use of SHIFT.

Subject to any applicable separate written agreement, Liverton Security’s total aggregate liability arising from or relating to SHIFT is limited to fees paid by the relevant customer for SHIFT during the 12 months before the event giving rise to the claim. For services supplied without charge, liability is limited to the maximum extent permitted by applicable law.

Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited.

13. Indemnification

To the extent permitted by law, you agree to indemnify Liverton Security against reasonable losses, liabilities, damages and costs arising from third-party claims to the extent caused by your unlawful use of SHIFT, infringement of another party’s rights, unauthorised use of an identity or organisational domain, or material breach of these terms. This indemnity does not cover losses caused by Liverton Security’s own negligence, breach of contract or unlawful conduct.

14. Changes to Terms

We may update these terms from time to time. Updated terms will be published on our website with their effective date. Where changes materially affect users’ rights or obligations, we will take reasonable steps to provide advance notice. Continued use after the effective date constitutes acceptance, subject to applicable law and any separate written agreement.

15. Governing Law

These terms are governed by the laws of New Zealand. The parties submit to the non-exclusive jurisdiction of New Zealand courts, subject to mandatory protections under applicable law.

16. Severability

If any provision is invalid or unenforceable, the remaining provisions continue to apply to the extent permitted by law.
